The questions owners actually ask

Will my staff find out we're talking?

No. Everything is confidential from the first contact. There is no listing, no broker, no advertisement and no data room with your name on it. Your staff, customers and competitors hear nothing unless and until you decide to complete a sale, and even then the announcement happens on your timetable, with a message you have seen first.

During the review phase we work around your business's rhythms. Site visits can happen after hours or be explained however you prefer. Owners have run this process without a single employee knowing until completion day, and that is normal, not exceptional.

What happens to the business name?

It stays. The name on the trucks, the uniforms and the door is a large part of what we are acquiring, because it carries decades of customer trust. We don't rebrand the businesses we buy, and we don't fold them into some group identity. Your business keeps trading as itself.

How is the price worked out?

On the business's real earnings, adjusted for anything unusual, at a multiple that reflects how durable those earnings are: contract terms, customer spread, the strength of the team, and the condition of plant and equipment. We will walk you through exactly how we arrived at the number, line by line, and you should expect the offer to be explainable rather than mysterious.

What we don't do is open high and negotiate down through diligence. The indicative offer we make after seeing preliminary documentation is a genuine number, and when the review confirms the business is as presented, the binding offer reflects it. Re-trading a price late in a process is how buyers with borrowed money behave, and it is precisely what we built Talia Capital not to do.

What if I want to stay on?

Then stay on. Some owners want a clean handover over 60 to 90 days and a retirement they have earned. Some want a year of transition. Some want to keep doing the technical or customer work they love with none of the administration. All of those work for us, and the choice is genuinely yours, agreed before completion and written into the deal.

What does a first conversation commit me to?

Nothing. It is a conversation, not an engagement. No fee, no exclusivity, nothing to sign, no obligation to share a single document. Plenty of owners write to us years before they intend to sell, to understand the option. We welcome that, and if it is not a fit, we will say so plainly and everything discussed stays confidential.

Do you use brokers?

We buy directly from owners. There is no broker in the middle, no commission coming out of your price, and no process designed to auction your business to the highest of twelve bidders. If you already have an adviser or accountant involved, we are very happy to work with them, and we have a page written for them.

Where does the money come from?

Talia Capital is backed by permanent capital, not by a fund with outside investors.

In some acquisitions we also use business finance, and vendor finance is an option where it suits the owner. A structure that shares timing risk, such as partial vendor finance or an earnout, can generally support a higher price than an all-cash completion, and we put those options in front of you plainly so you can choose the trade-off.

Why did I get a letter from you?

Because your business fits what we look for. We research Australian businesses using public information, the ABN register, ASIC records and public websites, and we write directly to owners rather than waiting for businesses to be listed for sale. We have published exactly how that works, what information we hold, and how to be removed from our mailing list.

How we source businesses

My business doesn't tick every box. Should I still get in touch?

Yes. The criteria are a guide, not a gate. If the business is established, profitable and doing essential B2B work, we would rather have the conversation than miss something good.

How long does the whole thing take?

Typically 8 to 10 weeks from first conversation to completion, followed by a handover of 60 to 90 days at your pace. We move quickly because dragging a sale out for a year is corrosive for everyone, but no stage is rushed past what proper work requires.
